Neighborhood banks serve companies and consumers throughout the country. Borrower and Debtors shall mean Regional Administration Corp., Regional Finance Company of South Carolina, Regional Finance Corporation of Georgia, Regional Finance Corporation of Texas, Regional Finance Corporation of North Carolina, Regional Finance Company of Alabama, Regional Finance Corporation of Tennessee, Regional Finance Company of New Mexico, LLC, Regional Finance Company of Missouri, LLC, Regional Finance Company of Oklahoma, LLC, Regional Finance Firm of Georgia, LLC, RMC Financial Providers of Florida, LLC, Regional Finance Company of Louisiana, LLC, Regional Finance Company of Mississippi, LLC, Regional Finance Firm of Kentucky, LLC and Regional Finance Firm of Virginia, LLC.

Lender and Lenders shall have the meanings specified within the introductory paragraph hereof and shall include the Agent to the extent of any Agent Advance outstanding and Financial institution of America to the extent of any Non-Ratable Loan outstanding; offered that no such Agent Advance or Non-Ratable Loan shall be taken into account in figuring out any Lender’s Pro Rata Share.

Other Taxes shall mean any current or future stamp or documentary taxes or some other excise or property taxes, charges or related levies (but excluding any tax, charge or levy that constitutes Excluded Taxes) which arise from any cost made hereunder or from the execution, delivery or registration of, or otherwise with respect to, this Agreement or some other Mortgage Documents.

It is understood that (i) no Lender shall be liable for any failure by any other Lender to perform its obligation to make any Revolving Loans hereunder, nor shall any Commitment of any Lender be increased or decreased as a result of any failure by another Lender to carry out its obligation to make any Revolving Loans hereunder, (ii) no failure by any Lender to carry out its obligation to make any Revolving Loans hereunder shall excuse any other Lender from its obligation to make any Revolving Loans hereunder, and (iii) the obligations of each Lender hereunder shall be a number of, not joint and several other.

Assortment Account Agreements means, collectively, (i) that certain Deposit Account Control Settlement dated February 13, 2012 entered into between Borrowers, Agent, and Financial institution of America, as depository bank, as the same amended, restated and supplemented every now and then, (ii) that sure Deposit Account Management Settlement dated on or about April 24, 2012 entered into between Borrowers, Agent, and Wells Fargo Financial institution, Nationwide Association, as depository bank, as the identical amended, restated and supplemented now and again, and (iii) any other deposit account control settlement, collection agreement or similar settlement entered into by Borrowers and authorized by Agent.
