Group banks serve companies and customers all through the country. Any amounts so re-lent to Debtors shall bear curiosity at the fee applicable to Base Fee Revolving Loans and for all other functions of this Settlement shall be handled as if they were Revolving Loans, supplied, nevertheless, that for functions of voting or consenting to issues with respect to the Mortgage Documents and figuring out Pro Rata Shares, such Defaulting Lender shall be deemed to not be a Lender.
Contracts shall mean all of every Borrowers proper, title, and interest in and to each presently current, and hereafter arising, loan account, account, contract proper, Instrument, word, document, chattel paper, general intangible, and all other types of obligations owing to any Borrower, all rights of any Borrower to receive cost thereof, along with all ensures or other rights of any Borrower obtained in connection therewith, and any collateral therefor.
(b) SUBJECT TO PARAGRAPH 12.9, DEBTORS COMPLY WITH INDEMNIFY AND HOLD HARMLESS AGENT AND EACH LENDER FOR THE COMPLETE AMOUNT OF INDEMNIFIED TAXES (TOGETHER WITH ANY INDEMNIFIED TAXES IMPOSED BY ANY JURISDICTION ON QUANTITIES PAYABLE UNDERNEATH THIS PARAGRAPH) PAID BY AGENT OR ANY LENDER AND ANY LIABILITY (TOGETHER WITH PENALTIES, INTEREST, ADDITIONS TO TAX AND EXPENSES) ARISING THEREFROM OR WITH RESPECT THERETO, WHETHER OR NOT OR NOT SUCH INDEMNIFIED TAXES WERE ACCURATELY OR LEGALLY ASSERTED.
In the occasion that the issuer of any Letter of Credit score honors a draw underneath such Letter of Credit and the Borrowers shall not have repaid such amount to the issuer of such Letter of Credit pursuant to subparagraph 2.18(d)(i), such drawing shall represent a request by the Borrowers to the Agent for a Borrowing of a Base Charge Revolving Mortgage in the quantity of such drawing.
At any time when Agent receives a cost from Borrowers on account of reimbursement obligations in respect of a Letter of Credit score as to which the Agent has previously received for the account of the Letter of Credit score Issuer thereof payment from a Lender pursuant to subparagraph 2.18(d)(ii), Agent shall promptly pay to such Lender such Lenders Professional Rata Share of such fee from Borrowers in Dollars.
